They set out reasons you don't owe the money or why the person suing you is not entitled to collect. I can't speak to the ones in your state, but they might include things like laches (which means that the transaction happened so long ago, records or evidence is not available), duress, failure of consideration (means you never got anything of value for the money they are trying to collect), etc. What type of letter are you trying to write?
