Found Michigan case law for defending breach of contract

I found this for our Michigan members if they are up against a breach of contract suit.

To establish a breach of contract, a plaintiff must first establish the elements of a contract.

Pawlak v. Redox Corp, 453 N.W. 2d 304, 307 (Mich. Ct. App. 1990). A valid contract requires “(1)

parties competent to contract, (2) a proper subject matter, (3) a legal consideration, (4) mutuality of

agreement, and (5) mutuality of obligation.” Thomas v. Leja, 468 N.W.2d 58, 60 (Mich. Ct. App.

1991). Plaintiff must then establish a breach of the contract and damages resulting from such

breach. Alan Custom Homes, Inc v. Krol, 667 N.W.2d 379, 383 (Mich. Ct. App. 2003).
